# 1. Acceptance of Terms

By accessing or using the services provided by Firnic Driver Network ("FIRNIC," "we," "us," or "our"), including our website, applications, and financial facilitation services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any of our services.

# 2. Description of Service

FIRNIC acts as a financial facilitator that bridges the deposit gap between qualified ride-hailing drivers ("Drivers") and vehicle owners/garages ("Fleet Owners"). We provide short-term financing strictly for the purpose of covering upfront vehicle deposits required for work-and-pay arrangements.

FIRNIC is not a ride-hailing platform, nor do we sell or lease vehicles directly. Our role is strictly limited to financing the initial deposit and managing the repayment schedule.

# 3. Eligibility

To be eligible to use our Services, you must:

Be at least 21 years of age.
Be a resident of Ghana holding a valid Ghana Card.
Hold a valid Ghanaian Driver's License.
Maintain an active, well-rated profile on an approved ride-hailing platform (e.g., Uber, Bolt, Yango).
Provide accurate, complete, and truthful information during the application process.

# 4. The Financing Agreement

A. Application and Approval

Submission of an application does not guarantee approval. FIRNIC reserves the right to approve or deny any application based on our proprietary risk assessment, background checks, and verification processes.

B. Disbursement of Funds

Upon approval, FIRNIC will not disburse cash directly to the Driver. All deposit funds are transferred directly into the verified bank or mobile money account of the Fleet Owner/Garage.

C. Repayment Obligations

Drivers agree to repay the financed deposit amount, plus any applicable service fees, according to the schedule outlined in their specific Financing Agreement. Payments must be made on time. Failure to make payments may result in the termination of the financing agreement and notification to the Fleet Owner, which may jeopardize the driver's vehicle access.

# 5. Responsibilities of Fleet Owners

Fleet Owners partnering with FIRNIC agree to:

Provide vehicles in roadworthy condition with all necessary commercial insurance and documentation.
Notify FIRNIC within three (3) business days if a Driver defaults on their vehicle remittances or if the work-and-pay contract is terminated.
Remit any refundable portions of the deposit directly to FIRNIC, rather than the Driver, in the event of early termination or contract completion, until FIRNIC's financed amount is fully settled.

# 6. Default and Termination

If a Driver defaults on their repayment schedule, FIRNIC reserves the right to:

Apply late fees as outlined in the Financing Agreement.
Notify the associated Fleet Owner of the default.
Report the default to local credit reference bureaus.
Pursue legal action or utilize debt collection services to recover the outstanding balance.

We reserve the right to suspend or terminate your access to our Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

# 7. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis. FIRNIC makes no representations or warranties of any kind, express or implied, regarding the operation of our Services, the condition of the vehicles provided by Fleet Owners, or the earnings potential of Drivers.

# 8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall FIRNIC, its directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, this service.

# 9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Accra, Ghana.

# 10. Modifications to Terms

FIRNIC reserves the right to modify these Terms at any time. We will notify users of any material changes by updating the "Last updated" date at the top of this document. Continued use of the Services after any such changes shall constitute your consent to such changes.
